Organizer Terms

These terms govern the agreement between Agostini Lab S.r.l. ("Festivio", VAT IT04767140280) and event organizers using the Festivio platform. By accepting these terms you enter into a binding contract for the supply of the platform services described below.
Stripe Connect Full Accounts
Organizers sell through their own Stripe Connect Full Account and are the merchant of record for all sales to attendees. Funds are settled directly to the organizer's Stripe account; Festivio never holds, receives, or disburses attendee payments, and is not a payment institution or payment intermediary. Organizers are responsible for the accuracy of their information, compliance with Stripe's policies, and keeping their account in good standing.
Platform Fees
The organizer owes Festivio a platform fee on transactions made through the platform, as set out in the fee schedule shown to the organizer at acceptance and in the organizer dashboard, which forms an integral part of these terms. Fees on electronic (Stripe) transactions are collected automatically as a Stripe application_fee on the connected account at settlement. Fees on non-electronic transactions (cash or external POS) recorded through the cashier interface are not collected via Stripe and are invoiced in arrears (a consuntivo) after the event, based on platform reporting, payable per the invoice terms. Stripe's own processing fees are borne by the organizer on the connected account. Festivio does not apply direct surcharges to attendees.
Payouts
Payout timelines are controlled by Stripe and may be delayed due to reviews or compliance requirements. Refunds and chargebacks are handled by the organizer through Stripe.
Restricted Activities
Organizers must not conduct illegal or otherwise restricted activities. Age‑restricted content and sales must comply with applicable laws, and the organizer is responsible for any required verification.
Compliance Obligations
As merchant of record, the organizer is solely responsible for the correctness of prices, VAT rates, product descriptions, fiscal receipts/invoicing, and consumer-protection compliance toward attendees, and for all tax and administrative obligations of its sales activity.
Data Protection (Art. 28 GDPR)
For attendee and order personal data processed through the platform, the organizer is the data controller and Festivio acts as data processor on the organizer's documented instructions. Acceptance of these terms includes acceptance of the Data Processing Agreement (Art. 28 GDPR) incorporated by reference, which sets out the subject matter, duration, sub-processors, security measures, and assistance obligations. Each party complies with Regulation (EU) 2016/679.
Liability and Indemnity
The platform is provided on an "as is" / "as available" basis as an obligation of means. To the fullest extent permitted by law, and save for wilful misconduct or gross negligence, Festivio's aggregate liability is limited to the platform fees actually received by Festivio in connection with the event giving rise to the claim, and Festivio is not liable for indirect or consequential loss (including lost profit or revenue). The organizer indemnifies and holds Festivio harmless against claims by attendees or third parties relating to prices, products, fiscal/administrative matters, payments and refunds, or misuse of the platform.
Changes and Termination
These terms may change with reasonable notice; continued use constitutes acceptance. Either party may terminate for material breach not cured within 15 days of written notice, and Festivio may suspend or terminate access for violations or to comply with law.
Governing Law and Venue
Governing law: Italy. Exclusive venue: Padova. The organizer acts as a business (B2B); consumer protections do not apply to this agreement.
Specific Approval of Clauses (Arts. 1341–1342 Italian Civil Code)
By ticking the dedicated acceptance box, the organizer specifically approves the following clauses: Stripe Connect Full Accounts (no payment-intermediary role), Platform Fees, Liability and Indemnity (limitation of liability and cap), Changes and Termination, and Governing Law and Venue (exclusive forum of Padova).
Acceptance is required in the Organizer Settings page, including specific approval of the clauses above. A timestamp and the accepted version are stored when accepted.
